Qudos Bank is an unlisted public company owned by our shareholding customers ('Members') and run by our Board of Directors. The Board consists of seven directors, 5 of whom are member elected and 2 of whom are appointed by our Board.

As a customer owned organisation, Qudos Bank is owned and controlled by its Members. Being a Member means that you’re more than just a number – you’re a shareholder, and all shareholders over the age of 18 have the power to vote and play an important role in our future direction.

We don’t exist solely to generate profits for shareholders. Our shareholders are not private investors; they are you, our Members.

Corporate Governance

Corporate governance is how a company is directed and managed. It influences how the objectives of the company are set and achieved, how risk is monitored and assessed, and how performance is optimised.

The Australian Prudential Regulation Authority (APRA) has issued Prudential Standard CPS 510 Governance, which sets out minimum foundations for good governance of regulated financial institutions, such as Qudos Bank. Its objective is to ensure that regulated financial institutions are managed soundly and prudently by a competent Board, which can make reasonable and impartial business judgements in the best interests of the institution and which duly considers the impact of its decisions on depositors.

Framework

Our directors and management are committed to high standards of corporate governance and with this in mind, have articulated and formalised the corporate governance framework within which Qudos Bank operates in a Board Charter. The Board Charter is a written policy document that defines the respective roles, responsibilities and authorities of the Board, both individually and collectively, and of Management in setting the direction, management and control of the organisation. As such, it establishes the guidelines within which the Directors and Officers are to operate as they carry out their respective roles. In setting these guidelines, Qudos Bank has had regard to the ASX Corporate Governance Principles and Recommendations to the extent that they are relevant to and appropriate for an unlisted public company with a mutual structure.

Background:
Rodney has been working in the banking industry for 46 years and worked for a major bank for 43 years in Australia and overseas. He now provides risk consultancy and advice to the financial services sector. He was the General Manager, Group Credit Risk at National Australia Bank for 6 years prior to leaving the bank in 2018 and was responsible for the credit risk globally. He has since provided risk and consultancy advice in the mutual banking sector and is a subject matter expert in credit risk management.
He is also on the board of AgriNous Pty. Ltd which is an agribusiness technology company. Rodney has had previous board and board chair experience in the health and education sectors.

Background
Jennifer Dalitz is a CA and CPA qualified finance professional with extensive strategic and operational experience in financial services and management consulting. Her expertise spans the full spectrum of retail banking, business banking and wealth management; and she has led major customer strategy and change programs, complex business units, and diverse boards and management teams through periods of complex change. Jen was appointed as a Director of Qudos Bank in 2019 and she currently serves as a member of the Risk Committee, Customer, ESG & Transformation Committee and Chair of the People & Remuneration Committee.

Background
Andrew Leithhead's career has spanned many financial services disciplines, including investment portfolio management, stockbroking, investment banking, equity and debt capital markets and commercial banking (including digital transformation) in Australia and in the U.S.A. He has held senior leadership positions in large, multi-national companies and smaller, local businesses, including ANZ Banking Group, KPMG, Barclays Bank Group, Gilbert & Tobin Lawyers and Meares & Phillips. He is currently self-employed as a strategy and leadership consultant. Andrew's experience as a director includes ANZ Equities, LINWAR Securities, The Scots College and KPMG Corporate Finance (Australia) and as Chair of the Australian Racing Drivers’ Club (which operates Sydney Motorsport Park). He is currently Non-Executive Director of The Anglican Schools Corporation. Background:
Sally-Ann has extensive experience spanning Deep Tech, technology transformation, innovation & entrepreneurship, inclusion, business development, commercialisation and transformation. Prior to becoming CEO of Cicada Innovations, Sally-Ann spent over 12 years at Google as an Executive Program Manager on the engineering team. Sally-Ann has also been involved in driving national engagement and change strategies in innovation & entrepreneurship, Computer Science and STEM education as a member of the COAG STEM Partnership Forum and contributed to the foundation of StartupAUS, a non-profit with a mission to transform Australia through technology entrepreneurship. She has led several cross-sector working groups to drive change both in policy & cultural transformation needed to grow a thriving technology driven economy. Sally-Ann is an advisor to several state and national working groups on tech & innovation and is a mentor and advisor to several industry and university incubators & accelerators including Startmate.

Brendan joined Qudos Bank in 2023 as Chief Executive Officer. Brendan is a highly accomplished senior executive, with over 20 years leadership experience in financial services including retail banking, commercial lending and mortgage broking.
His career achievements include CEO at mortgage finance aggregator and broker fintech - FAST Group, where he led the business through significant transformation and executive leaderships roles within NAB. He has also worked as a business consultant and currently sits on the board as non-executive Director of Citoplus, a broker software solution provider. With a customer-first mindset, Brendan is passionate about leading with purpose and creating a diverse and inclusive culture.

Anna Milinkovic has returned to Qudos Bank as Chief Financial Officer (CFO) in February 2021. Anna first joined Qudos Bank (Qantas Staff Credit Union at the time) as Financial Controller in 2005 before moving onto senior management roles including Financial Controller at Westpac and General Manager Finance at Thales.
Anna brings with her over 20 years' experience in the Financial Services Industry specialising in Accounting, Audit, and Controller responsibilities. In her role, she works closely with the Executive, Finance, Payment Operations and Treasury teams.

Stephen Swannell began his career in the Financial Services Industry in 1986 and has held several Senior Positions in his career span. Stephen joined Qudos Bank in 2002 and is currently the Executive Manager Retail Banking. Stephen is responsible for Qudos Bank’s Lending, Financial Assistance, Financial Planning, Branch Network, Operations, Contact Centre, Business Development, Third Party, Dispute Resolution and Broker channels.

David Bridges joined Qudos Bank in 2004 and has over 20 years’ experience in Technology and Banking. As Chief Information Officer he is responsible for Qudos Bank’s strategic technology needs including development of our Digital Banking and cyber-security capabilities. Additionally, David is also responsible for the organisations Project Management Office (PMO) and Property Services.
As CIO, David is committed to making banking easier, striving to continuously make new enhancements and updates to the Bank’s technology services.

Antar Chahine is a Risk, Audit, Compliance, Anti-Money Laundering / Counter Terrorism Financing (AML/CTF) and Fraud Seasoned Professional with over two decades of experience in Financial Services. Having joined Qudos Bank in 2010 as Internal Audit Manager, Antar moved into the role of Chief Risk Officer in 2017 and is now accountable for Qudos Banks’ Risk, Compliance, Fraud and AML/CTF Functions.

As an experienced Human Resources professional, Wendy Hadenham has over 18 years experience in the finance sector. Previous to Qudos Bank, Wendy was a Human Resource Business Partner at JP Morgan Chase, supporting Investment Bank, Equities and Custody Business.
She joined Qudos Bank in 2011 as an Assistant Manager before moving into Manager and then Executive Manager Human Resources in 2019. In this role, Wendy focuses on empowering our people through our values, development opportunities and people initiatives.
